Summary:

The Paralegal role is responsible for supporting the legal department in managing corporate governance, compliance, and transactional matters. This role will research laws, regulations, and legal articles; review and prepare documents; and work cross-functionally with a variety of different internal stakeholders.

 

Essential functions (responsibilities, tasks, supervisory needs)

  • Prepares legal documents such as contracts, promissory notes, security agreements, vessel mortgages, UCC liens, initial and amended articles of incorporation and annual reports, and board consents for review, approval, and use by attorneys. Inventories and tracks real and personal property.  Reviews lease agreements, working with responsible parties on lease terms, critical deadlines and renewal dates.
  • Performs research using legal reference materials.  Investigates facts and case law to determine causes of action and to prepare case accordingly.
  • Prepares affidavits of documents and maintains document files.  Responds to records requests; reviews and redacts documents.
  • Delivers or directs delivery of subpoenas duces tecum, bankruptcy and garnishment notices to witnesses and relevant parties.
  • Tracks matters affecting the General Counsel.  Reviews attorneys' mail for critical events to be docketed, and calendars critical dates as necessary.  Directs and coordinates activities of legal department.
  • Prepares office accounts. Manages invoicing and expense reporting.
  • Responsible for corporate filings and corporate record-keeping in connection with Trident's corporate entities.
  • Works with General Counsel and other departments on contract review process.  Accepts, reviews, files, edits, and tracks on-going negotiations for agreements.  Works directly with clients and their outside contacts on managing the agreement process.
  • Manages Trident's patents and trademarks.  Responsible for domestic and international registrations and filings in compliance with regulating bodies. Dockets and responds to critical deadlines.  Works with outside counsel on intellectual property projects.
  • Provides administrative support to attorneys, including preparation of pleadings and correspondences, scheduling of meetings using electronic calendar application, and any other tasks as required. 

This is a salaried exempt position with an annualized salary range of $80,000 to $120,000.

Required Qualifications (education, years of experience, KSAs)

  • A minimum of 5 years of experience working as a corporate paralegal, law clerk, or similar administrative experience.
  • A bachelor’s degree in political science, business administration, or related field, or the equivalent combination of education and years of experience.  
  • Advanced proficiency in Microsoft Office Suite and Adobe.

Preferred education and experience

  • Organizational and project management skills with ability to own and drive project schedule from start to finish.
  • Ability to conduct research using multiple resources and analyze findings.
  • Ability to develop relationships, build rapport, and effectively interface with all levels within the company.
  • Strong ability to understand problems, think critically, and identify solutions.
  • Excellent verbal and written communication skills, including the ability to articulate complex issues.
  • Strong attention to detail and commitment to producing accurate work in a timely manner.
  • Completed paralegal program or certificate.

This job takes place in a typical office environment: temperature controlled with adequate lighting and has moderate noise.  

Physical demands:

While performing the duties of this job, the employee is regularly sits for long periods of time using a computer, is required to stand and walk; talk or hear, both in person and by telephone; use hands to finger, handle or feel objects or controls; reach with hands and arms; stoop, kneel, or crouch. May occasionally lift up to 15 lbs.
